Schedule A – Revenue Share Schedule
Ce document est affiché en anglais. Seule la version anglaise fait foi.
Schedule A – Revenue Share Schedule
Plain-language summary (not legally binding). You get 50% of the Net Ad Revenue from your game, or 70% if the web version is exclusive to Benerits (no other web portals for 12 months after Full Launch). There is no launch boost, advance or minimum guarantee. Net Ad Revenue is what the ad networks actually pay Benerits for ads shown in your game, less network fees, taxes, refunds and invalid traffic. Where a network reports revenue for the whole portal, it is divided between games according to each game's verified impressions, by ad format and by day. You can follow your figures in Studio, and a statement is issued every month. Payment is made within 45 days after the end of each month once you have reached USD 100 (smaller amounts carry over). You are paid in USD, or in TRY if you are a Turkish publisher and choose TRY. You must raise any dispute within 60 days, and you may audit once a year. Only the numbered clauses below are binding. This box is not.
This Schedule A forms part of the Publisher (Developer) Distribution Agreement between [BENERITS LEGAL ENTITY NAME] ("Benerits") and the Publisher (the "Agreement"). Capitalised terms not defined in this Schedule A have the meanings given in the Agreement. References to "Clauses" in this Schedule A are to clauses of this Schedule A unless they refer expressly to the Agreement.
1. Definitions
1.1 In this Schedule A:
- "Ad Impression" means one display of an ad to a Player that is requested through the SDK from within a Game and counted as an impression by the relevant Ad Network.
- "Attributable Gross Revenue" means, for a Game and a Reporting Month, the gross amounts actually received by Benerits from Ad Networks in respect of Ad Impressions in that Game in that Reporting Month, determined in accordance with Clause 4.
- "CBRT Rate" means the indicative US dollar foreign exchange selling rate (döviz satış kuru) announced by the Central Bank of the Republic of Türkiye (Türkiye Cumhuriyet Merkez Bankası) for the relevant date. If no rate is announced for that date, the most recently announced rate before that date applies.
- "Direct Attribution" has the meaning given in Clause 4.2.
- "Invalid Traffic Deductions" has the meaning given in Clause 3.2(d).
- "Net Ad Revenue" has the meaning given in Clause 3.1.
- "Payment Date" has the meaning given in Clause 6.1.
- "Payment Threshold" means USD 100 (one hundred United States dollars), or the equivalent under Clause 7.
- "Portal-Level Revenue" means revenue reported by an Ad Network for the Portal as a whole, or for a group of Games, without separating it by individual Game.
- "Reporting Month" means a calendar month, determined by the time zone Europe/Istanbul (UTC+3).
- "Revenue Share Percentage" means the percentage applicable to a Game under Clause 2.
- "Statement" means the monthly statement described in Clause 5.3.
- "Verified Impression" means an Ad Impression that: (a) was requested through the SDK by the Game in accordance with the Ad & SDK Policy; (b) was reported as rendered by the SDK; (c) is matched by an impression recorded by the relevant Ad Network, or by an equivalent server-side confirmation; and (d) has not been classified as Invalid Traffic by Benerits or the Ad Network.
2. Revenue Share Tiers
2.1 Tiers. The Revenue Share Percentage payable to the Publisher for each Game is as follows:
| Tier | Condition | Revenue Share Percentage (Publisher) | Benerits' share |
|---|---|---|---|
| Standard Tier | No exclusivity election, or exclusivity election ended or lost under Clause 9 of the Agreement | 50% of Net Ad Revenue | 50% |
| Web-Exclusive Tier | Valid exclusivity election in the Addendum, with the Publisher complying with Clause 9 of the Agreement (the web version is not distributed on any Other Web Portal until 12 months after Full Launch, or longer under Clause 9.8 of the Agreement) | 70% of Net Ad Revenue | 30% |
2.2 No other payments. No launch boost, bonus tier, advance, minimum guarantee, signing fee or other payment applies unless it is expressly provided for in the Special Terms of an Addendum.
2.3 Tier per Game. The tier is determined separately for each Game, as recorded in its Addendum and shown in the Studio. A change of tier under Clause 9 of the Agreement takes effect from the first day of the Reporting Month specified in that Clause.
2.4 Creator Programme. Referral fees payable to content creators under the Benerits Creator Programme are paid from Benerits' share and do not reduce the Revenue Share Percentage.
3. Net Ad Revenue
3.1 Definition. "Net Ad Revenue" means, for a Game and a Reporting Month, the Attributable Gross Revenue less the deductions set out in Clause 3.2, to the extent that these relate to that Game (on the basis of Direct Attribution or pro-rata allocation using the same method as in Clause 4).
3.2 Deductions. The following are deducted:
(a) network and mediation fees: fees, commissions and revenue shares charged by Ad Networks, mediation platforms, ad servers and demand-side intermediaries in respect of the Ad Impressions, to the extent that they have not already been deducted before payment to Benerits;
(b) taxes: value added tax, sales, use, digital services and similar taxes levied on or included in the gross amounts, and any taxes that an Ad Network or payer is required by law to withhold from payments to Benerits, to the extent that Benerits cannot recover or credit them;
(c) refunds and adjustments: refunds, chargebacks, credits, make-goods, clawbacks and other adjustments made by Ad Networks or advertisers, including those relating to earlier Reporting Months; and
(d) Invalid Traffic Deductions: amounts attributable to Invalid Traffic or fraud, whether deducted, withheld or clawed back by an Ad Network or determined by Benerits under Clause 12 of the Agreement and Clause 9 of this Schedule A.
3.3 Included revenue. Attributable Gross Revenue includes revenue from Interstitial Ads and Rewarded Ads requested through the SDK from within the Game, whether the Game is played on the Portal on desktop or mobile web or in a Native Wrapper, and irrespective of the Ad Network or other demand source through which Benerits monetised the Ad Impression.
3.4 Excluded revenue. Attributable Gross Revenue does not include: (a) revenue from Banner Ads and other advertising placements rendered by the Portal outside the Game frame (for example, on the Game page, home page, category pages or search results), since these are inventory of the Portal and not Ad Impressions served in the Game; (b) revenue from sponsorships, brand partnerships, subscriptions or other non-advertising sources of the Portal; (c) interest and currency gains of Benerits; and (d) amounts that Benerits has not actually received, subject to Clause 3.5.
3.5 Timing of receipt. Net Ad Revenue for a Reporting Month is calculated on the basis of the final earnings reported by the Ad Networks for that Reporting Month. Where, on the Payment Date, an Ad Network has not paid Benerits some or all of the amounts reported for that Reporting Month, Benerits may either pay the Revenue Share on those amounts or defer that part of the payment to the Payment Date following actual receipt. If Benerits has paid Revenue Share on amounts that are later not received, or are reduced or clawed back, Benerits may deduct the excess in accordance with Clause 9.4.
3.6 No deductions for Benerits' own costs. Benerits' own hosting, bandwidth, personnel, marketing and user-acquisition costs are not deducted in the calculation of Net Ad Revenue.
4. Attribution Methodology
4.1 Principle. Attributable Gross Revenue is determined by Ad Network, by Ad Format and by day (Europe/Istanbul time), then aggregated for the Reporting Month.
4.2 Direct Attribution. Where an Ad Network reports revenue at the level of an individual Game (for example, by ad unit, placement, key-value or custom parameter identifying the Game), that revenue is attributed to the Game directly ("Direct Attribution").
4.3 Pro-rata allocation. Where an Ad Network reports Portal-Level Revenue, Benerits allocates that revenue to each Game in proportion to the Game's Verified Impressions, per Ad Format per day, using the following formula:
Attributable Gross Revenue (Game g, Ad Network n, Ad Format f, day d) = Portal-Level Revenue (n, f, d) × [Verified Impressions (g, n, f, d) ÷ total Verified Impressions of all Games (n, f, d)]
Where an Ad Network reports Portal-Level Revenue only per Ad Format and not per network, or only per month, Benerits applies the formula at the most granular level available.
4.4 Verified Impressions as the reference. Impressions that are not Verified Impressions are not taken into account in the allocation under Clause 4.3. The number of Verified Impressions recorded by Benerits' systems is decisive, unless it is manifestly erroneous.
4.5 Currency conversion of network revenue. Where an Ad Network pays Benerits in a currency other than US dollars, the amounts are converted into US dollars at the exchange rate applied by the Ad Network or, if there is none, at the CBRT Rate on the date of receipt, or at the rate actually obtained by Benerits on conversion.
4.6 Rounding. Calculations are made to at least four decimal places and the amounts shown in Statements are rounded to two decimal places.
4.7 Changes to methodology. Benerits may refine the attribution methodology (for example, where an Ad Network makes new reporting dimensions available). Any change that materially adversely affects the Publisher is subject to Clause 30.3 of the Agreement.
5. Reporting
5.1 Studio dashboard. Benerits makes available in the Studio a reporting dashboard showing, for each Game, at least the Ad Impressions by Ad Format, estimated earnings and the Revenue Share tier. The dashboard is the Publisher's reference source for Game-level data. Daily figures are estimates based on preliminary reports by Ad Networks and may change.
5.2 Preliminary and final figures. Figures for a Reporting Month become final when the Statement for that Reporting Month is issued. Differences between the estimated and final figures result mainly from Ad Network finalisation, currency conversion and Invalid Traffic Deductions.
5.3 Monthly Statement. By the 15th day of each calendar month, Benerits will issue in the Studio a Statement for the preceding Reporting Month showing, for each Game: Attributable Gross Revenue; each category of deduction under Clause 3.2; Net Ad Revenue; the Revenue Share Percentage; the Revenue Share; any adjustments for earlier months; set-off amounts; taxes withheld; the balance carried over; and the amount payable.
5.4 Notification. Benerits will notify the Publisher by email when a Statement is available.
6. Payment Terms
6.1 Payment date. Benerits will pay the Revenue Share shown as payable in a Statement within 45 days after the end of the Reporting Month to which it relates (the "Payment Date"), provided that the Publisher has completed the payment and tax information required under Clauses 6.4 and 8 and, where applicable, has issued a valid invoice under Clause 8.3.
6.2 Payment Threshold. If the balance payable to the Publisher (including amounts carried over) is less than the Payment Threshold, no payment is made and the balance is carried over to the next Reporting Month. Balances carried over do not bear interest. On termination of the Agreement, Clause 23.2 of the Agreement applies and the Payment Threshold does not apply.
6.3 Payment methods. Benerits pays by bank transfer (SWIFT or, for accounts in Türkiye, EFT/FAST), by Wise, or by PayPal, at the Publisher's choice among the methods available in the Studio for the Publisher's country. The payment account must be held in the name of the Publisher. Benerits does not make payments to third parties or to accounts in countries subject to sanctions.
6.4 Payment information. The Publisher is responsible for the accuracy of its payment information. If a payment fails or is returned due to incorrect information, Benerits will retry once the information has been corrected. Any additional costs of the failed payment may be deducted. Benerits is not liable for payments made in accordance with the information in the Studio.
6.5 Fees. Benerits bears the fees charged by its own bank or payment provider for sending the payment. The Publisher bears the fees charged by its own bank or payment provider and any intermediary or correspondent bank fees, conversion fees and receiving fees, which may reduce the amount received.
6.6 Late payment. If Benerits fails to pay an undisputed amount by the Payment Date, and does not pay it within 10 Business Days of receiving written notice of the late payment, the unpaid amount bears default interest from the day after the end of that notice period until the date of payment. The interest rate is the rate under Article 4/a of Law No. 3095 on Legal and Default Interest for US dollar amounts and the commercial default interest rate under Article 2 of that Law for TRY amounts. This is the Publisher's sole remedy for late payment, without prejudice to Clause 22.3 of the Agreement.
6.7 Unclaimed amounts. If the Publisher does not provide the information required to receive a payment, the amount remains credited to its account. Benerits will remind the Publisher at least once a year. Claims to such amounts are subject to the general limitation periods under Applicable Law.
7. Currency
7.1 Base currency. All amounts under this Schedule A are calculated and stated in US dollars (USD).
7.2 TRY option for Turkish Publishers. A Publisher that is resident or established in Türkiye for tax purposes may choose in the Studio to be paid in Turkish lira (TRY). The US dollar amount payable is converted into TRY at the CBRT Rate on the date of the Statement. A change of the chosen currency takes effect for the first Statement issued after the change.
7.3 Payment Threshold in TRY. For Publishers paid in TRY, the Payment Threshold is the TRY equivalent of USD 100 at the CBRT Rate on the date of the Statement.
7.4 Currency risk. Once the amount has been converted in accordance with Clause 7.2, currency fluctuations between the Statement date and the payment date are borne by the Publisher.
8. Taxes and Withholding
8.1 General. All amounts are exclusive of value added tax (VAT) or similar taxes. Each Party is responsible for its own taxes on income and profits, and for its own registration, declaration and payment obligations. Benerits is not liable for the Publisher's taxes, save for amounts that Benerits is required by law to withhold and pay on the Publisher's behalf.
8.2 Tax documents. Before the first payment, and whenever its circumstances change, the Publisher shall provide the tax information and forms that Benerits or its payment providers reasonably require. These include: (a) its tax residence and tax identification number; (b) for Publishers that are not U.S. persons, IRS Form W-8BEN (individuals) or W-8BEN-E (entities), and for U.S. persons, IRS Form W-9, or equivalent documents requested by payment providers; and (c) any other documents required under Applicable Law. Benerits may withhold payment until the required information is received.
8.3 Publishers resident in Türkiye.
(a) VAT-registered Publishers and taxpayers who are required to issue invoices. After the Statement has been issued, the Publisher shall issue to Benerits, within 7 days, an invoice for the Revenue Share amount stated in the Statement (in the form of an e-invoice (e-fatura) or e-archive invoice (e-arşiv fatura), or a self-employment receipt (serbest meslek makbuzu/e-SMM), as applicable). The invoice shall show VAT at the applicable rate, if VAT applies. Benerits pays the VAT shown on a valid invoice in addition to the Revenue Share, subject to any partial VAT withholding (KDV tevkifatı) required under the VAT legislation.
(b) Income tax withholding (stopaj). Where Turkish tax law (including Article 94 of Income Tax Law No. 193 ("GVK")) requires Benerits to withhold income tax from payments to the Publisher, for example in the case of payments to self-employed individuals or payments for copyright to natural persons, Benerits shall withhold the tax at the applicable statutory rate, pay it to the tax office and deduct it from the payment. Benerits will record the withholding in the Statement and provide proof of it on request.
(c) Individuals without a tax registration. Where the Publisher is a natural person who is not registered for tax, Benerits may issue the documents prescribed by the Tax Procedure Law No. 213 (such as a gider pusulası) where permitted and apply the withholding under item (b). The Publisher is responsible for assessing whether any exemption (for example, under Article 18 of the GVK) applies to it and for any declaration obligations.
8.4 Publishers not resident in Türkiye.
(a) Withholding. Where Turkish tax law (including Article 30 of Corporate Tax Law No. 5520 and Article 94 of the GVK) requires Benerits to withhold tax from payments to non-residents, Benerits shall withhold that tax and deduct it from the payment.
(b) Treaty relief. If the Publisher wishes to benefit from a reduced rate under a double taxation treaty between Türkiye and its country of residence, it shall provide, before the payment concerned, a certificate of tax residence (mukimlik belgesi) issued by the competent authority of its country of residence for the relevant calendar year, in the form required by the Turkish Revenue Administration (including apostille or translation where required), and any other documents reasonably requested. Benerits applies the treaty rate only for periods covered by a valid certificate.
(c) Proof. Benerits provides a withholding receipt or other proof of the tax withheld on request, so that the Publisher can claim a credit in its country of residence where available.
(d) Reverse-charge VAT. Where Benerits is required to account for Turkish VAT on the Publisher's services under the reverse-charge mechanism (Article 9 of VAT Law No. 3065), it does so at its own cost, and this VAT does not reduce the Revenue Share.
8.5 No gross-up. Benerits is not obliged to gross up any payment for taxes that it is required by law to withhold.
8.6 Changes in tax law. If there is a change in tax law or practice that affects the taxes to be withheld or deducted, Benerits applies the new rules from their effective date and will inform the Publisher.
9. Invalid Traffic Deductions
9.1 Exclusion. Revenue attributable to Invalid Traffic is not part of Net Ad Revenue, and no Revenue Share is payable on it.
9.2 Withholding. If Benerits or an Ad Network suspects Invalid Traffic in a Game, Benerits may withhold the Revenue Share attributable to the suspected Invalid Traffic. Where there are reasonable grounds to suspect that the Publisher is involved, Benerits may withhold all Revenue Share payable to the Publisher, in accordance with Clause 12.3 of the Agreement, for a period not exceeding 90 days from the date of the suspension notice. At the end of the investigation, or of that 90-day period, Benerits pays the withheld amounts that are not attributable to Invalid Traffic on the next Payment Date.
9.3 Clawback. If an Ad Network deducts or claws back amounts because of Invalid Traffic or fraud after the Revenue Share has been paid, or if Benerits identifies Invalid Traffic after payment, Benerits may recover the Revenue Share paid on those amounts. The right to recover based on Benerits' own determination is limited to Invalid Traffic identified within 12 months after the Payment Date concerned. There is no time limit for recovery in the event of fraud by the Publisher. Recovery based on Ad Network deductions is limited to amounts actually deducted or clawed back by the Ad Network.
9.4 Method of recovery. Benerits recovers amounts due by set-off against future Revenue Share. If the Revenue Share falling due within the following three Reporting Months is insufficient to cover the amount, or if the Agreement has been terminated, Benerits may invoice the balance, and the Publisher shall pay it within 30 days after the invoice date.
9.5 Information. Deductions for Invalid Traffic are shown separately in the Statement. At the Publisher's request, Benerits provides the information described in Clauses 12.4 and 12.5 of the Agreement.
10. Finality of Statements and Disputes
10.1 Finality. Each Statement is final and binding on the Publisher unless the Publisher disputes it in writing within 60 days after the date of the Statement, subject only to: (a) adjustments under Clauses 3.5 and 9; (b) correction of manifest errors; and (c) the results of an audit under Clause 11 covering that Statement.
10.2 Dispute notice. A dispute notice shall be submitted through the Studio or to [CONTACT EMAIL: [email protected]] and shall identify the Statement, the disputed items and the amounts concerned, and the reasons and supporting evidence.
10.3 Review. Benerits will review the dispute in good faith and respond within 30 days of receipt. If Benerits accepts the dispute in whole or in part, the correction is made in the next Statement. The undisputed part of any payment is paid on the normal Payment Date.
10.4 Escalation. If the dispute is not resolved within 30 days of Benerits' response, Clause 31 of the Agreement applies.
11. Audit
11.1 Audit right. Once in any 12-month period, the Publisher may, by giving at least 30 days' written notice, have Benerits' records relating to the calculation of the Revenue Share for its Games audited for the preceding 24 months (excluding any period previously audited).
11.2 Auditor. The audit shall be carried out by an independent certified public accountant (in Türkiye, a sworn financial adviser (yeminli mali müşavir) or an independent audit firm) who is not remunerated on a contingency basis, is acceptable to Benerits (acting reasonably) and has signed a confidentiality undertaking with Benerits.
11.3 Scope and conduct. The audit is carried out during normal business hours, remotely or at Benerits' premises, in a way that does not unreasonably disrupt Benerits' business. It is limited to the records necessary to verify the Revenue Share of the Publisher's Games. The auditor may verify the aggregate Portal-Level Revenue and Verified Impressions used for allocation, but may not disclose to the Publisher information about other publishers, the terms of Benerits' contracts with Ad Networks or other Confidential Information of Benerits. The auditor's report to the Publisher shall be limited to whether the Revenue Share was correctly calculated and, if not, the amount of the difference.
11.4 Costs. The Publisher bears the costs of the audit. If the audit shows that Benerits underpaid the Revenue Share for the audited period by more than 5%, Benerits shall reimburse the reasonable and documented costs of the audit.
11.5 Adjustments. Benerits pays any underpayment identified by the audit within 30 days after the audit report is delivered. Any overpayment identified may be recovered by Benerits in accordance with Clause 9.4.
12. Worked Example
12.1 The following example is illustrative only. The figures, exchange rates and tax rates are hypothetical, and in practice the attribution is calculated per Ad Network, per Ad Format and per day (Clause 4).
Assumptions. Game "Pipe Flow", Reporting Month October 2026, Statement issued on 15 November 2026, Payment Date no later than 15 December 2026 (45 days after 31 October 2026).
Step 1 – Attributable Gross Revenue.
| Item | Calculation | USD |
|---|---|---|
| Rewarded Ads, Network B (Direct Attribution) | reported for the Game | 1,200.00 |
| Interstitial Ads, Network A (Portal-Level Revenue, allocated pro-rata) | Portal-Level Revenue USD 60,000.00 × (150,000 Verified Impressions of the Game ÷ 3,000,000 total Verified Impressions) = 60,000.00 × 5% | 3,000.00 |
| Attributable Gross Revenue | 4,200.00 |
Step 2 – Deductions (Clause 3.2).
| Deduction | USD |
|---|---|
| (a) Mediation fee not already deducted by Network A, allocated to the Game | (60.00) |
| (b) Taxes withheld by an Ad Network at source | 0.00 |
| (c) Advertiser refund allocated to the Game | (40.00) |
| (d) Invalid Traffic deducted by Network A | (100.00) |
| Net Ad Revenue | 4,000.00 |
Step 3 – Revenue Share.
| Tier | Calculation | Revenue Share (USD) |
|---|---|---|
| Standard Tier | 4,000.00 × 50% | 2,000.00 |
| Web-Exclusive Tier (if elected) | 4,000.00 × 70% | 2,800.00 |
Step 4 – Currency and taxes (Standard Tier), three alternative Publishers.
- Turkish VAT-registered company choosing TRY: CBRT Rate on 15 November 2026 (hypothetical) = 42.0000 TRY/USD. Revenue Share = 2,000.00 × 42.0000 = TRY 84,000.00. The Publisher issues an e-invoice for TRY 84,000.00 plus VAT at the applicable rate (for example, 20% = TRY 16,800.00), and Benerits pays the invoiced amount subject to any KDV tevkifatı. Bank fees on the Publisher's side are borne by the Publisher.
- Non-resident company with treaty relief: the certificate of tax residence is on file and the treaty rate applicable (hypothetical) is 10%. Withholding = 2,000.00 × 10% = USD 200.00. Net payment = USD 1,800.00, less the Publisher's own receiving bank fees. Benerits provides proof of the withholding on request.
- Non-resident company without a certificate of tax residence: the full statutory rate under Turkish law is withheld until a valid certificate is provided.
Step 5 – Payment Threshold. If in November 2026 the Game's Revenue Share is USD 80.00, no payment is made for November (because 80.00 < 100.00), and USD 80.00 is carried over. If the Revenue Share for December 2026 is USD 45.00, the balance of USD 125.00 is paid by 14 February 2027 (45 days after 31 December 2026).
Step 6 – Later clawback. If in January 2027 Network A claws back a further USD 50.00 relating to Invalid Traffic in the Game in October 2026, the Revenue Share on that amount (Standard Tier: USD 25.00) is deducted in the next Statement in accordance with Clause 9.4.
This Schedule A is governed by Clauses 30 (Amendments), 31 (Governing Law and Dispute Resolution) and 33 (Language) of the Agreement. In case of conflict between the English and Turkish versions, the English version prevails for Publishers and Creators, and the Turkish version prevails for consumers residing in Türkiye.
