Creator Programme Terms

Este documento se muestra en inglés. La versión en inglés es la que prevalece.

Creator Programme Terms

Plain-language summary (not legally binding). If you stream or make videos of games on Benerits, you can join the Creator Programme and get personal referral links. When a new player clicks your link and starts playing within 30 days, you earn 10% of the Net Ad Revenue that player generates during their first 90 days. This comes out of Benerits' share, not the game developer's. You must clearly disclose that you have a commercial relationship with Benerits (for example with #reklam / #işbirliği in Turkish content and #ad in English content). You must not make misleading claims or use tricks to get clicks. You can show gameplay in your content and earn money from it, and Benerits may feature your content with credit. Payment is monthly once you have reached USD 50. Only the numbered clauses below are binding. This box is not.

These Creator Programme Terms (the "Terms") are entered into between [BENERITS LEGAL ENTITY NAME], [REGISTERED ADDRESS], [TRADE REGISTRY / MERSIS NO.], [TAX OFFICE / TAX NO.], [CONTACT EMAIL: [email protected]] ("Benerits", "we" or "us") and the natural person or legal entity who applies to and is admitted to the Benerits Creator Programme (the "Creator" or "you"), each a "Party".

1. Definitions and Interpretation

1.1 In these Terms:

  • "Applicable Law" means all laws, regulations, binding guidelines and decisions of competent authorities applicable to a Party or the relevant activity, including advertising, consumer protection, data protection, tax and sanctions laws.
  • "Attribution Window" means the period of 30 days starting from a Referral Click.
  • "Benerits Marks" means the Benerits name, logos, badges and other trade marks and brand elements that Benerits makes available to Creators.
  • "Brand Guidelines" means Benerits' guidelines on the use of the Benerits Marks, as published in the Creator Dashboard.
  • "Channel" means each social media account, video channel, streaming channel, website, newsletter, podcast or other medium through which the Creator publishes content and which the Creator has registered in the Creator Dashboard.
  • "Creator Content" means videos, live streams, clips, posts, stories, images, text, audio and other content created by or for the Creator that features the Portal, a Game or Benerits, or contains a Referral Link.
  • "Creator Dashboard" means the section of the Portal through which the Creator manages its participation in the Programme, obtains Referral Links, views Aggregated Statistics and statements and manages payment details.
  • "Earning Period" means, for each Referred Player, the period of 90 days starting on the day on which that player becomes a Referred Player.
  • "Game" means a game made available on the Portal.
  • "Gameplay Content" means audio-visual recordings, live streams, screenshots and clips depicting a Game being played.
  • "Invalid Traffic" means any click, visit, play, ad impression or other activity that is not the result of genuine interest of a human user acting in good faith, including the activity described in Clause 10, and any activity classified as invalid by Benerits or an Ad Network.
  • "Ad Networks" means the advertising networks and demand sources through which Benerits monetises advertising on the Portal.
  • "Net Ad Revenue" has the meaning given in Clause 3 of Schedule A (Revenue Share Schedule) to the Publisher (Developer) Distribution Agreement, applied in accordance with Clause 5.2 of these Terms to all ad impressions served to a Referred Player on the Portal.
  • "New Player" means a visitor who, at the time of the Referral Click, has no existing Portal account and no Portal visitor identifier older than the Referral Click, and who has not previously been attributed to any Creator.
  • "Portal" means the Benerits online game platform, including its websites and applications.
  • "Programme" means the Benerits Creator Programme governed by these Terms.
  • "Referral Click" means a click on, or other use of, a Referral Link by a user, recorded by Benerits.
  • "Referral Fee" has the meaning given in Clause 5.1.
  • "Referral Link" means a unique link, code or other identifier issued to the Creator through the Creator Dashboard that allows Benerits to attribute users to the Creator.
  • "Referred Player" means a New Player who, within the Attribution Window after a Referral Click, starts a first game session on the Portal (as shown by a valid gameplayStart event in a Game), and who is attributed to the Creator under Clause 4.

1.2 The terms "Ad Format", "Affiliate", "Aggregated Statistics", "Business Day", "Data Protection Laws", "Player Terms" and "Publisher" have the meanings given in the Publisher (Developer) Distribution Agreement published on the Portal. Clause 1.2 of that agreement applies to the interpretation of these Terms with the necessary changes. References to "Clauses" are to clauses of these Terms, unless otherwise stated.

2. Eligibility and Admission

2.1 Eligibility. To participate in the Programme, the Creator must: (a) be at least 18 years old and have full legal capacity, or be a legal entity; (b) operate at least one active Channel that complies with the rules of the relevant platform; (c) not be subject to the sanctions described in Clause 17; and (d) comply with any additional criteria published in the Creator Dashboard (for example, relating to audience size or content type).

2.2 Application and admission. The Creator applies through the Portal and provides complete and accurate information about itself and its Channels. Benerits may accept or reject applications at its discretion, and may request identity and tax verification before admission or before any payment.

2.3 Professional capacity. The Creator participates in the Programme for professional or commercial purposes and not as a consumer.

2.4 One account. Each Creator may hold only one Programme account. Where a legal entity participates, it shall designate the natural persons who create content on its behalf and is responsible for them.

2.5 Relationship with other terms. Use of the Portal as a player is governed by the Player Terms and the Benerits Privacy Policy. If the Creator is also a Publisher, the Publisher (Developer) Distribution Agreement applies to its activity as a Publisher, and these Terms apply only to its activity in the Programme.

3. Referral Links

3.1 Issue. Benerits issues Referral Links to the Creator through the Creator Dashboard. The Creator may use Referral Links only in its Creator Content and on its registered Channels in accordance with these Terms.

3.2 No modification. The Creator shall not alter, mask, shorten through services that conceal the destination in order to mislead, redirect or wrap Referral Links in a way that affects their function or misrepresents their destination.

3.3 Deactivation. Benerits may deactivate or replace Referral Links at any time, for example for technical, security or anti-fraud reasons, and will inform the Creator of this.

4. Attribution

4.1 Attribution rule. A user becomes a Referred Player of the Creator if: (a) the user is a New Player; (b) the user makes a Referral Click on the Creator's Referral Link; (c) within the Attribution Window after that Referral Click, the user starts a first game session on the Portal on the same browser or device, or after logging into a Portal account created within the Attribution Window; and (d) none of the exclusions in Clause 4.4 applies.

4.2 Last click. If a user makes Referral Clicks on the Referral Links of more than one Creator, the user is attributed to the Creator whose Referral Link was clicked last before the user became a Referred Player. Once attributed, a Referred Player is not re-attributed to another Creator.

4.3 Technical conditions. Attribution depends on technical conditions such as cookies, local storage or other identifiers. Benerits may use first-party, privacy-preserving methods. Attribution may fail if the user has refused the relevant consent, blocks cookies or storage, uses private browsing, changes device or browser, or if the Referral Link has been altered. Benerits is not liable for failed attribution in these circumstances.

4.4 Exclusions. A user is not a Referred Player, and no Referral Fee is payable for that user, if: (a) the user is the Creator itself, a person acting on its behalf, a member of its household or an account controlled by the Creator; (b) the Referral Click or visit is Invalid Traffic or results from a practice prohibited under Clause 10; (c) the user arrived through paid advertising that breaches Clause 10.1(f); or (d) Benerits reasonably determines that the user was not a New Player.

4.5 Records. Attribution is determined by Benerits' records, which are decisive absent manifest error. Benerits does not attribute users retroactively on the basis of screenshots or information supplied by the Creator.

5. Referral Fee

5.1 Fee. For each Referred Player, Benerits shall pay the Creator a fee equal to 10% of the Net Ad Revenue generated by that Referred Player during the Referred Player's Earning Period (the "Referral Fee").

5.2 Calculation. The Net Ad Revenue generated by a Referred Player is the Net Ad Revenue (calculated in accordance with Clause 3 of Schedule A, with the necessary changes) from all ad impressions served to that Referred Player on the Portal during the Earning Period, whether in Games or elsewhere on the Portal. Where Ad Networks do not report revenue at the level of individual users, Benerits calculates it by allocating Net Ad Revenue per Ad Format, per Ad Network and per day in proportion to the verified impressions served to the Referred Player, using the same method as Clause 4 of Schedule A.

5.3 Paid from Benerits' share. The Referral Fee is paid by Benerits from its own share of Net Ad Revenue. It does not reduce the revenue share payable to the Publishers of the Games played by Referred Players.

5.4 No other remuneration. The Referral Fee is the sole remuneration of the Creator under the Programme. The Creator is not entitled to any fixed fee, reimbursement of expenses or other payment unless separately agreed in writing. Benerits does not require the Creator to produce any particular amount of content.

5.5 Invalid Traffic. No Referral Fee is payable on revenue attributable to Invalid Traffic. Benerits may withhold Referral Fees where it suspects Invalid Traffic, for a period not exceeding 90 days from the date of the notice of suspension pending investigation, and may set off or recover Referral Fees paid on Invalid Traffic identified within 12 months after payment (without time limit in the event of fraud by the Creator).

5.6 End of the Earning Period. A Referred Player generates Referral Fees only during their Earning Period. After the Earning Period, no further Referral Fees are payable for that Referred Player.

6. Reporting and Payment

6.1 Reporting. The Creator Dashboard shows, in the form of Aggregated Statistics, the number of Referral Clicks, the number of Referred Players, estimated Net Ad Revenue generated by Referred Players and estimated Referral Fees. Daily figures are estimates. By the 15th day of each calendar month, Benerits issues a monthly statement for the preceding calendar month, which is final unless disputed in writing within 60 days.

6.2 Payment date and threshold. Benerits pays the Referral Fees shown as payable within 45 days after the end of the calendar month concerned, provided that the balance payable (including amounts carried over) is at least USD 50 (the "Creator Payment Threshold"). Lower amounts are carried over to the following month without interest.

6.3 Currency and payment method. Referral Fees are calculated and paid in US dollars. A Creator resident in Türkiye may choose payment in Turkish lira, converted at the US dollar foreign exchange selling rate of the Central Bank of the Republic of Türkiye (TCMB döviz satış kuru) on the date of the statement. Payment is made by bank transfer, Wise or PayPal, to an account held in the Creator's name. Each Party bears the fees of its own bank or payment provider, and the Creator bears intermediary and receiving fees.

6.4 Taxes. Amounts are exclusive of VAT. The Creator is responsible for its own taxes and shall provide the tax information and forms reasonably requested (including IRS Form W-8BEN/W-8BEN-E or W-9 and, for treaty relief, a certificate of tax residence). Benerits withholds taxes where required by law, including income tax withholding under Article 94 of Turkish Income Tax Law No. 193 ("GVK") or withholding on payments to non-residents, and provides proof of withholding on request. A Creator resident in Türkiye shall issue an invoice, e-invoice, e-archive invoice or self-employment receipt for the Referral Fee where required by law. Where the Creator benefits from the exemption for social content producers under Article 20/B of the GVK, the Creator shall inform Benerits and provide the details of its dedicated bank account, and Benerits will apply the withholding and payment procedure required by that provision, to the extent that it applies to payments by Benerits.

6.5 Termination. On termination of these Terms, Benerits pays the remaining balance of Referral Fees accrued up to the termination date, whether or not the Creator Payment Threshold has been reached, within 90 days after the end of the month of termination, subject to Clauses 5.5 and 12.4.

6.6 Set-off. Benerits may set off any amount owed to it by the Creator under these Terms against Referral Fees.

7. Disclosure Obligations

7.1 General obligation. Whenever Creator Content contains a Referral Link or otherwise promotes the Portal or a Game, the Creator shall clearly and conspicuously disclose its commercial relationship with Benerits, namely that it may earn money from users who come to the Portal through its link. The disclosure shall be clear, prominent, understandable to the intended audience, in the language of the content, and placed so that it is noticed before the audience is exposed to the promotion or the Referral Link.

7.2 Content for audiences in Türkiye. For Creator Content aimed at audiences in Türkiye, the Creator shall comply with Consumer Protection Law No. 6502 (in particular Article 61), the Regulation on Commercial Advertising and Unfair Commercial Practices, and the Guide on Commercial Advertising and Unfair Commercial Practices by Social Media Influencers published by the Advertising Board (Reklam Kurulu). In particular:

(a) the disclosure shall be made in Turkish, using expressions such as "#reklam", "#işbirliği", "Reklam" or "İşbirliği", or by using the platform's paid-partnership tool together with such an expression;

(b) in written posts, the disclosure shall appear at the beginning of the text and be visible without the user having to click "more" or expand the text;

(c) in videos, the disclosure shall be made both visually and orally at the beginning of the video, and, for videos of long duration, shall be repeated;

(d) in live streams, the disclosure shall be displayed on screen throughout the stream or repeated at regular intervals (at least every 30 minutes), and included in the stream title or description;

(e) in stories and short-lived content, the disclosure shall be displayed in each item containing the promotion; and

(f) disclosures in a foreign language only, or hidden among many hashtags, are not sufficient.

7.3 Content for audiences in the United States. For Creator Content aimed at audiences in the United States, the Creator shall comply with Section 5 of the Federal Trade Commission Act and the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255). Disclosures such as "#ad", "Ad", "Sponsored" or "I earn money when you play through my link" shall be made in clear and conspicuous form, in the content itself (not only in the profile or behind a link), in the same medium as the endorsement (spoken in videos and streams, and on screen), and repeated in live streams.

7.4 Other jurisdictions. The Creator shall comply with the disclosure rules of every country in which its audience is primarily located, including the Unfair Commercial Practices Directive 2005/29/EC and its national implementations in the European Union, and the CAP Code and the guidance of the Advertising Standards Authority and the Competition and Markets Authority in the United Kingdom.

7.5 Platform tools and rules. Where a platform provides a tool for disclosing paid promotions (such as the "Includes paid promotion" setting on YouTube or the "Paid partnership" label on Instagram and TikTok), the Creator shall use it in addition to its own disclosure. The Creator shall comply with the rules of each platform on which it publishes.

7.6 Honest opinions. The Creator shall express only its honest opinions and actual experiences. It shall not make claims about the Portal or Games that it knows or should know to be false or unsubstantiated.

7.7 Children. The Creator shall not direct Referral Links, or Creator Content containing Referral Links, primarily at children under 13, including content designated as "made for kids" on YouTube or the equivalent on other platforms. Where the Creator's audience includes minors, the Creator shall comply with the special rules on advertising to children under Applicable Law and shall not exploit their inexperience or credulity or directly exhort them to play.

8. Content Licences

8.1 Licence to the Creator: Gameplay Content. Subject to these Terms, Benerits grants the Creator a non-exclusive, worldwide, non-transferable, revocable and royalty-free licence, for the duration of its participation in the Programme, to capture, record, live-stream, edit, publish and monetise (for example, through platform advertising revenue, memberships or donations) Gameplay Content of Games on its Channels. The licence covers Gameplay Content created after the Creator's admission. Gameplay Content published during the term may remain online after the end of these Terms, subject to Clause 8.2.

8.2 Limits. The licence in Clause 8.1 does not permit the Creator to: (a) distribute a playable copy of a Game or any of its files, or extract and reuse its assets (such as music, characters or artwork) separately from Gameplay Content; (b) claim ownership of a Game or register Gameplay Content, Game audio or Game assets in content identification systems (such as YouTube Content ID) or make copyright claims against third parties on the basis of Game elements; (c) use Gameplay Content in a way that is defamatory, misleading or that suggests that the Publisher of the Game endorses the Creator; or (d) use Gameplay Content of Games that Benerits has identified in the Creator Dashboard as excluded from the licence. Games are owned by their Publishers or licensors, and Benerits cannot guarantee that no third party (for example, a rights holder of music in a Game) will make claims against Gameplay Content. Where such a claim arises, the Creator shall inform Benerits, and Benerits will use reasonable efforts to help resolve it.

8.3 Licence to Benerits: Creator Content. The Creator grants Benerits and its Affiliates a non-exclusive, worldwide, royalty-free licence, for the duration of the Creator's participation in the Programme and for 12 months thereafter, to exercise the following rights in the Creator Content that includes a Referral Link or that the Creator has marked as available to Benerits in the Creator Dashboard: (a) reproduction; (b) distribution; (c) public display and performance; and (d) communication to the public, including making available on demand. The licence includes embedding and linking, sharing on Benerits' social media channels, featuring on the Portal (for example, on the page of the relevant Game), and the use of excerpts of up to 60 seconds and of thumbnails in promotional materials for the Portal. Benerits will credit the Creator by name or Channel name. Benerits will not edit Creator Content in a way that changes its meaning, and will not use Creator Content in paid advertising without the Creator's separate consent. Content already published by Benerits before the end of the licence may remain in its original place.

8.4 Name and likeness. The Creator permits Benerits to use its name, Channel name, handle, profile image and a short biography supplied by the Creator in order to identify the Creator as a participant in the Programme and to present its Creator Content on the Portal and Benerits' channels, for the duration of the licence in Clause 8.3.

8.5 Removal requests. The Creator may at any time request Benerits to stop using a particular piece of Creator Content or its name or likeness in future materials. Benerits will comply within 10 Business Days for content under its control.

8.6 Creator warranties. The Creator warrants that it has all rights necessary to grant the licence in Clause 8.3, including rights to music, third-party content, trade marks and the images and voices of persons appearing in the Creator Content, and that the Creator Content does not infringe the rights of any third party or Applicable Law.

9. Brand Usage

9.1 Licence. Benerits grants the Creator a non-exclusive, non-transferable, revocable and royalty-free licence, for the duration of its participation in the Programme, to use the Benerits Marks in its Creator Content in accordance with the Brand Guidelines, solely to refer to the Portal and to promote its Referral Links.

9.2 Restrictions. The Creator shall not: (a) alter, distort or combine the Benerits Marks with other marks; (b) register or use any domain name, social media handle, username, app name or trade mark that contains or is confusingly similar to the Benerits Marks; (c) bid on the Benerits Marks or variations of them as keywords in search engine or social media advertising; (d) give the impression that it is employed by, an agent of or an official representative of Benerits, or that Benerits sponsors its Channel beyond the Programme; or (e) use the Benerits Marks in connection with content that breaches Clause 10.

9.3 Goodwill. All use of the Benerits Marks inures to the benefit of Benerits.

10. Prohibited Conduct

10.1 The Creator shall not, directly or indirectly:

(a) make misleading claims, including claims that players can earn money, prizes or rewards by playing on the Portal, false statements about Games, fake giveaways or contests, or claims that Benerits or a Publisher endorses the Creator;

(b) generate artificial traffic, including through bots, scripts, click farms, automated browsers, incentivised clicks (offering rewards, giveaways or other benefits to viewers for clicking the Referral Link or for playing), cookie stuffing, forced clicks, pop-ups, pop-unders, iframes or hidden links;

(c) encourage viewers to click ads on the Portal, or to play only to generate revenue for the Creator;

(d) spam, including unsolicited messages, mass comments, posting Referral Links in forums or communities where this is not allowed, or sending commercial electronic messages without the consent required under Law No. 6563 on the Regulation of Electronic Commerce or other Applicable Law;

(e) refer itself, household members or accounts it controls, or create accounts in order to earn Referral Fees;

(f) buy traffic, including through paid search, social media or display advertising containing Referral Links, without Benerits' prior written consent, and in any case bid on the Benerits Marks;

(g) distribute cheats, hacks, modified versions of Games or pirated content, or direct users to them;

(h) publish unlawful or harmful content in connection with the Programme, including content that is hateful, discriminatory, violent, sexually explicit, harassing, defamatory or infringing, or that endangers minors;

(i) collect data about users through Referral Links, or use tracking technologies that capture information about users who click the Referral Link;

(j) misrepresent itself as Benerits, a Publisher or another Creator; or

(k) breach platform rules of any platform on which it publishes Creator Content.

10.2 Benerits may require the Creator to remove or correct Creator Content that breaches these Terms, and the Creator shall do so within 48 hours of the request (or immediately where the breach concerns disclosure, minors or unlawful content).

11. Data Protection

11.1 Benerits is the data controller for the personal data of Referred Players and other users of the Portal. The Creator receives only Aggregated Statistics and never receives personal data of Referred Players.

11.2 Benerits processes the Creator's personal data (such as identity, contact, Channel, payment and tax data) for the purposes of admission, performance of these Terms, payments, compliance with legal obligations, fraud prevention and the protection of its legitimate interests, as described in the Benerits Privacy Policy and the information notice under Article 10 of Turkish Law No. 6698 on the Protection of Personal Data.

11.3 The Creator shall comply with Data Protection Laws in its own activities, including when it runs its Channels.

12. Term, Suspension and Termination

12.1 Term. These Terms start when the Creator is admitted to the Programme and continue until terminated.

12.2 Termination by the Creator. The Creator may terminate these Terms at any time with immediate effect through the Creator Dashboard or by notice to Benerits.

12.3 Termination by Benerits. Benerits may terminate these Terms at any time by giving 15 days' notice. Benerits may suspend or terminate them with immediate effect if the Creator breaches these Terms (including Clauses 7 and 10), generates Invalid Traffic, becomes subject to sanctions, harms the reputation of Benerits through its conduct, or if Benerits discontinues the Programme (in which case Benerits will give at least 30 days' notice where practicable).

12.4 Effects. On termination: (a) Referral Links are deactivated; (b) no new Referred Players are attributed, and the Earning Periods of existing Referred Players end on the date of termination; (c) accrued Referral Fees are paid in accordance with Clause 6.5, except that Referral Fees attributable to a breach of Clause 7 or 10, or to Invalid Traffic, are forfeited; (d) the licences in Clauses 8.1 and 9.1 end, subject to Clause 8.1 in respect of Gameplay Content already published, and the Creator shall remove the Benerits Marks from its Channel profiles and from any content it publishes after termination; and (e) the licences in Clauses 8.3 and 8.4 continue for the period specified there.

12.5 Survival. Clauses 5.5, 6, 8.2, 8.3, 8.6, 11, 12.4, 13, 14, 15, 16 and 18 to 21 survive termination.

13. Warranties and Indemnity

13.1 The Creator warrants that it has the capacity and authority to enter into these Terms, that the information it provides is accurate, and that it will comply with Applicable Law and these Terms.

13.2 The Creator shall indemnify and hold harmless Benerits and its Affiliates, directors, employees and agents against all losses, damages, fines, costs and expenses (including reasonable legal fees) arising from third-party claims or proceedings by authorities (including the Advertising Board, the FTC or other supervisory authorities) resulting from the Creator Content, a breach of Clause 7, 8.6, 9 or 10, or the Creator's breach of Applicable Law.

13.3 The Programme, the Creator Dashboard and the statistics are provided "as is". Benerits does not guarantee any level of Referral Fees, traffic or Game availability. Games may be removed from the Portal at any time.

14. Limitation of Liability

14.1 Neither Party is liable for loss of profits, revenue, goodwill or data, or for indirect or consequential loss, except for Referral Fees due and payable under these Terms.

14.2 The total liability of each Party under these Terms in any 12-month period is limited to the greater of the Referral Fees paid to the Creator in the 12 months preceding the event giving rise to the claim and USD 100.

14.3 Clauses 14.1 and 14.2 do not limit liability for fraud, wilful misconduct (kast), gross negligence (ağır ihmal) to the extent that Article 115 of Turkish Code of Obligations No. 6098 ("TBK") does not permit its limitation, death or personal injury, the Creator's indemnity under Clause 13.2, or any liability that cannot be limited under Applicable Law.

15. Independent Contractor and Non-Exclusivity

15.1 The Creator is an independent contractor. Nothing in these Terms creates an employment, agency, partnership or joint venture relationship. The Creator is not authorised to make statements or commitments on behalf of Benerits.

15.2 The Programme is non-exclusive. The Creator may promote other platforms and games, and Benerits may work with other creators.

16. Confidentiality

16.1 The Creator shall keep confidential any non-public information about Benerits, the Portal, Games not yet released and the terms of any individual agreement with Benerits, and shall not disclose it without Benerits' consent, except as required by law. The Creator may disclose the fact of its participation in the Programme and the standard terms set out in these Terms.

17. Sanctions and Anti-Corruption

17.1 The Creator represents that it is not subject to, or owned or controlled by persons subject to, sanctions imposed by the United Nations, the Republic of Türkiye, the European Union, the United Kingdom or the United States, and is not resident in a territory subject to comprehensive sanctions. Clauses 25 and 26 of the Publisher (Developer) Distribution Agreement apply to the Creator with the necessary changes.

18. Amendments

18.1 Benerits may amend these Terms by giving at least 30 days' notice by email and in the Creator Dashboard. If the Creator does not terminate these Terms before the amendment takes effect, continued participation in the Programme after the effective date constitutes acceptance.

18.2 A reduction of the Referral Fee percentage, a shortening of the Earning Period or the Attribution Window, or an increase of the Creator Payment Threshold applies only to Referral Clicks made after the effective date of the amendment. Referred Players already attributed continue to generate Referral Fees under the previous terms until the end of their Earning Periods.

18.3 Amendments required by Applicable Law, by an authority or for the prevention of fraud may take effect on shorter notice.

19. Governing Law and Dispute Resolution

19.1 These Terms are governed by the laws of the Republic of Türkiye, excluding its conflict-of-laws rules.

19.2 Any dispute arising out of or in connection with these Terms shall be finally settled by arbitration administered by the Istanbul Arbitration Centre ("ISTAC") in accordance with the ISTAC Arbitration Rules (and, where applicable, the ISTAC Fast Track Arbitration Rules) in force at the time the request for arbitration is filed, by a sole arbitrator. The seat of arbitration is Istanbul. The language of the arbitration is English, or Turkish where both Parties are established or resident in Türkiye. The Istanbul (Çağlayan) Courts and Enforcement Offices have jurisdiction for interim measures.

20. Electronic Acceptance and Evidence

20.1 These Terms are concluded by electronic acceptance ("click-wrap") in accordance with Articles 1 and 12 of the TBK. No handwritten signature or secure electronic signature under Electronic Signature Law No. 5070 is required. The arbitration agreement in Clause 19.2 is concluded in electronic form in accordance with Article 4 of Law No. 4686 and Article 412 of the Code of Civil Procedure No. 6100 ("HMK"). To the extent that Applicable Law requires a specific form for the licence in Clause 8.3, the Creator shall, on request, sign a confirmatory instrument.

20.2 Benerits records each acceptance, including the user, the version accepted, the date and time, the IP address and the user agent. In accordance with Article 193 of the HMK, these records and Benerits' electronic records constitute evidence of the acceptance and performance of these Terms, without prejudice to the right to prove the contrary.

20.3 The Creator confirms that it has specifically noted Clauses 4 (attribution), 5.5 (Invalid Traffic), 12 (termination and forfeiture), 14 (limitation of liability), 18 (amendments) and 19 (arbitration).

21. General

21.1 Language. These Terms are made available in English and Turkish. In case of conflict, the English version prevails for Publishers and Creators, and the Turkish version prevails for consumers residing in Türkiye.

21.2 Assignment. The Creator may not assign these Terms or any rights under them (including Referral Fee receivables) without Benerits' prior written consent. Benerits may assign these Terms to an Affiliate or successor.

21.3 Notices. Benerits gives notices by email to the address registered in the Creator Dashboard or through the Creator Dashboard. The Creator gives legal notices to [CONTACT EMAIL: [email protected]].

21.4 Entire agreement; severability; no waiver. These Terms constitute the entire agreement between the Parties regarding the Programme. If a provision is invalid, the remaining provisions remain in force. No failure or delay in exercising a right is a waiver.

21.5 Force majeure. Clause 28 of the Publisher (Developer) Distribution Agreement applies to these Terms with the necessary changes.
